Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of bluefiledenergy.com and the Bluefield forecasting and battery storage dispatch platform (collectively, the "Service") operated by Bluefield Energy K.K. ("the Company," "we," "us," or "our") (Umeda Sky Building, 1-1-88 Oyodonaka, Kita-ku, Osaka 530-0001, Japan). By accessing or using the Service, you accept these Terms on behalf of yourself and, where applicable, your employer or Customer Organization. Nothing in these Terms limits any statutory rights you may have under the laws of your country of residence.

The Service is designed for business customers: grid operators, storage asset owners, and utility trading and operations teams. Access is by application and review, not open self-registration. Where your Customer Organization has a separate written service agreement with the Company, the terms of that agreement govern to the extent of any conflict with these Terms.

2. Use of the Service

When using the Service, you agree to:

• Access the Service only as an authorized user of a Customer Organization that has completed the access request process;
• Keep your account credentials confidential and notify the Company promptly if you suspect unauthorized access;
• Use the forecasting outputs and dispatch schedules provided by the Service as decision-support inputs, not as the sole basis for grid operations decisions without appropriate operator review;
• Refrain from using the Service unlawfully, to interfere with the platform's operation, or to attempt unauthorized access to systems beyond your permitted scope;
• Refrain from scraping, reverse-engineering, or systematically copying the Service except as permitted by mandatory applicable law.

You must be of legal capacity in your jurisdiction to enter into this agreement, or have appropriate authorization from your employer.

3. Intellectual Property

The Service, including the forecasting models, dispatch optimization algorithms, software, documentation, and all related materials, is owned by the Company or its licensors and is protected by applicable intellectual property law, including Japanese copyright law and international treaties. The Company grants you a limited, non-exclusive, non-transferable license to access and use the Service for your organization's internal operational purposes in accordance with these Terms.

Grid operational data you submit through the Service (including site parameters, SCADA readings, and dispatch inputs) remains your property. You grant the Company a limited license to use, store, and process that data solely to provide the forecasting and dispatch scheduling service. The Company does not use your operational data to train models for third parties or for purposes beyond delivering the contracted service.

4. Customer Data and Operational Outputs

You are responsible for the accuracy and completeness of grid site data, SCADA readings, and other inputs you provide to the Service. Forecasting outputs and dispatch schedules generated by the Service are based on the inputs provided and on weather forecast data from third-party numerical weather prediction sources; their accuracy depends on input quality, weather forecast quality, and local grid conditions that may vary. The Company makes no warranty that any particular forecast accuracy or dispatch performance will be achieved. You remain responsible for operational decisions made on the basis of Service outputs, including compliance with OCCTO interconnection rules, JEPX settlement requirements, and any applicable grid operator obligations.

5. Disclaimers

The Service is provided on an "as is" and "as available" basis. The Company disclaims all warranties, express or implied, to the maximum extent permitted by applicable law, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Mandatory warranties applicable under the laws of your country of residence are not affected by this disclaimer.

6. Limitation of Liability

To the maximum extent permitted by applicable law, the Company's total liability for any claim arising from or related to the Service will not exceed the amount paid by you (or your Customer Organization) to the Company in the twelve months preceding the event giving rise to the claim, or USD 100 where no fees have been paid, except for liability that cannot be limited under mandatory applicable law. Neither party will be liable for indirect, incidental, consequential, or punitive damages arising from use of the Service.

7. Indemnification

You agree to indemnify and hold harmless Bluefield Energy K.K. from any claims, losses, or expenses (including reasonable legal fees) arising from your use of the Service in violation of these Terms, your breach of any representation or obligation in these Terms, or your violation of any third-party right.

8. Termination

The Company may suspend or terminate your access to the Service for material breach of these Terms, non-payment, or where required by applicable law, with or without prior notice depending on the circumstances. You may discontinue use at any time by contacting the Company to close your account. Sections that by their nature should survive termination -- including intellectual property, limitation of liability, indemnification, and governing law -- will survive.

9. Governing Law and Jurisdiction

These Terms are governed by the laws of Japan, without regard to conflict-of-laws rules that would apply the law of another jurisdiction.

Disputes arising from or related to these Terms or the Service are subject to the non-exclusive jurisdiction of the competent courts in Osaka, Japan, without prejudice to any mandatory consumer-protection or statutory rights you may have under the laws of your country of residence.

10. Changes and Contact

The Company may update these Terms from time to time. Material changes will be posted to bluefiledenergy.com with a new effective date.
